SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you and Technolica, Inc. ("ZoneTap AI," "we," "us," or "our"), a Delaware corporation, governing your access to and use of the ZoneTap AI platform and all related tools, features, and services (collectively, the "Service").

1. ACCEPTANCE OF TERMS

By creating an account, accessing the platform, or using any ZoneTap AI tool, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to comply with these Terms and our Privacy Policy.

If you are using ZoneTap AI on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. DESCRIPTION OF SERVICE

ZoneTap AI provides AI-powered document analysis and workflow tools for the Architecture, Engineering, and Construction (AEC) industry. The Service includes, but is not limited to:

• ZT Spec Check — specification vs. submittal compliance analysis
• ZT Spec Builder — AI-generated specification sections
• ZT Spec Update — specification modernization against current product data
• ZT RFI Check — AI-assisted RFI review and response drafting
• ZT Track Changes — document version comparison and redline reporting
• ZT House Rules — firm-specific compliance rule configuration
• ZT Field Report Creator — mobile field observation and reporting

3. ACCOUNTS AND ACCESS

Registration

To access the Service, you must register for an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Authorized Domains

Access to certain features may be restricted to users with email addresses from authorized domains. Domain authorization is managed at the organizational level.

Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or for any other reason with reasonable notice.

4. ACCEPTABLE USE

You agree to use ZoneTap AI only for lawful purposes and in accordance with these Terms. You must not:

• Upload documents that you do not have the right to share or process.
• Use the Service to infringe any patent, trademark, trade secret, copyright, or other intellectual property rights.
• Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
• Use automated scripts, bots, or scrapers to access the Service without our prior written consent.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Use the Service in any manner that could damage, disable, or impair its operation.
• Upload malicious files, viruses, or any code designed to interfere with the Service.

5. INTELLECTUAL PROPERTY

Our Property

ZoneTap AI and all content, features, and functionality — including but not limited to software, text, graphics, logos, and AI models — are owned by Technolica, Inc. and are protected by U.S. and international intellectual property laws, including U.S. Patent Nos. 10,506,057 B2 and 11,102,609 B2.

Your Content

You retain ownership of all documents and content you upload to the Service ("Your Content"). By uploading content, you grant Technolica, Inc. a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train AI models or share it with third parties except as described in our Privacy Policy.

Output Reports

AI-generated reports and analyses produced by the Service based on Your Content are provided to you for your use. You are solely responsible for reviewing, verifying, and relying on any AI-generated output.

6. AI-GENERATED CONTENT DISCLAIMER

We make no warranty that AI-generated analyses are complete, accurate, or error-free. Users assume all responsibility for decisions made based on ZoneTap AI output.

7. FEES AND PAYMENT

Access to certain features of ZoneTap AI requires a paid subscription or per-use fees. Pricing is determined based on your selected plan as agreed at the time of account setup. All fees are quoted in U.S. dollars.

• Fees are billed in advance on a monthly or annual basis as applicable to your plan.
• All fees are non-refundable except as required by law or at our sole discretion.
• We reserve the right to modify pricing with 30 days' notice to active subscribers.
• Failure to pay may result in suspension of access to the Service.

8. CONFIDENTIALITY

We treat all documents you upload as confidential business information. We will not disclose your project documents, reports, or account information to third parties except as required by law, as described in our Privacy Policy, or with your explicit consent.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHNOLICA, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Technolica, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

12. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a notice on the platform. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
